In a 14 tm league with no CI spot, middlebrooks is a marginal starter so you'd probably want to draft a starting 3b anyway (even if middlebrooks could be a good keeper for the future). I'd rather have Bauer in that case.
So given only those 2 trades, I would go get headley for Dickey which solves your 3b dilemma.
Now, that being said, do you know who else might be available at 3B in the draft? I know you are saying 3B is scarce but if your league only needs to draft 14 starting 3Bmen, your options aren't terrible. With respect to pitching, I'd say you probably shouldn't rely on bauer this year, meaning you really need 2 more SP (assuming you have bench spot for bauer). Do you feel confident that it will be easier for you to get 2 SPs in the draft vs 1 SP and 1 3B (if you did neither deal)?

I agree, go with Dickey for Headley. Both seem a bit flukey, but Bauer has the most upside of anyone mentioned so I'd hang on to him.
