Simple Trade Question w/prospects

Sitting in 2nd place in a 20-team pts league. Was offered this:

Give: Dom Brown, Get: Penny, Coke

Now I'm not going to accept this, even though Brown in not a keeper me and pitching is great when stockpiled. With this team in rebuild mode, do you think this would benefit both parties?

Give: Brown, Ackley, Alex White
Get: Gio Gonzalez, Penny

Or not enough on my side since they are only prospects? We keep 8, and his keepers are really bad. I have Utley coming off the DL here shortly and could use the roster space anyway.

Even though your league is deep, you should be able to get a better return than Penny and Coke.
