The offer is Jason Heyward and Homer Bailey for my Jason Bay.

At face value I say no, since Bay produces now and Heyward will have his ups and downs. You'll take a big hit in the short-medium term.
If you're really considering it, then it comes down to what kind of keeper contracts your league uses. Are there time limits or escalators in contract value? Then no. If its a lifetime keeper deal, then... how badly do you want to lose this year and compete from 2012 onward?
I'd would counter with Heyward and a short stop w some upside (only if he has one ... alexei ramirez, perhaps). Think about YOUR needs ... you don't NEED another outfielder, but it would be nice to gain youth since you're in the keeper league. In my mind, Homer Bailey isn't enough of a boost on the deal to sell the trade.
I hate bay this year. I am a Mets fan and think that Citi field will sap his power production and when you pair that up with a low BA you have a bust. I would def do this trade but ask him to come up on Bailey.
I'm all over this trade. It would not shock me if Heyward put up some real impressive numbers. Will you take a hit this year perhaps, but in the long run you get a chance at the best prospect in baseball.
