Dynasty H2H league with C/1B/2B/3B/SS/LF/CF/RF/U. You keep every player, there is no salary cap and their are no restrictions outside of transferring Minor Leaguers over if they start the year on the opening day roster. I took this pathetic team over from an owner who quit. I have dramatically improved my minor league roster, but the Major League team is well terrible. This is what I am working with.
I have offered Matt Kemp to the entire league and only one owner has interest. The good thing is this owner has tremendous talent and believe I could get fantastic value in return I Have also thought about offering one owner Kemp for J. Hamilton and Ellsbury.
If you where in my shoes who would you ask for in return for Kemp.

I love Justin Upton, but why would the other guy trade him for Kemp? That's no shot at Kemp, just that they are pretty similar in stats make-up. If you can get him to do Upton and Kershaw, do it, but if he turns you down, you might need to go a different direction.
You didn't mention position requirements (CI? how many OF? Util?), but you could also use a banger 1B/CI, a SS and SP never hurts. I like the "start high" sentiment though. You can't do everything in one step, so you may need to just try to acquire talent. He's deep at 1B, OF, and SP, so that's what I'd ask for, figuring that's what he might most easily part with.
If not Upton, then how about Morneau, in some combination with (maybe pick 2) Kershaw, Zobrist (played 13 games at SS, don't know if that qualifies in your league), McCutchen or Matusz, throw him back an OF or a pitcher to make it go? That might sound like a lot, but if he says no make him counter, at least he'll know you want a few guys, and you will have established a potential structure for the deal.
An old man (seriously, he was like 80) once told me, "Son, it always pays to ask. Sometimes you get your face slapped, but sometimes you get laid". I just about fell over laughing, but I've always remembered that.

Thanks for all the feedback guys, but the chances of getting Upton are zip. I have thought about the Morneau route as well as a Victorino/Heyward/SP route. This guy is a savvy owner so getting one over on him is not going to happen. In all honesty this is how it would probably end up.
Morneau/Heyward or Victorino/Heyward/Cahill (although I would shoot for Matusz) or McCutchen/Heyward/Matusz (I would have to include one of my better prospects in this deal)
If the above is the case, keep Kemp. I like Heyward/McCutchen as much as anyone, but the team that gets the best player (Kemp) in this deal will come out ahead. Hold out for Upton, or look for another trade partner, even if you have to wait 'till later. You have the biggest gun to play in Kemp, don't be the prey, be the hunter.
How about Morneau, McCutchen, and Matusz? Can you throw him back Johnny Damon or Joel Pineiro? To me, those two are both sell-highs, coming off one of the best years in their career, but Damon is 36, Pineiro is 31 but it's the first time his ERA was under 4.33 since 2003, and both are free agents. I wouldn't want to part with Montero, Carter, Wallace, Brown, Jennings or Chapman.
