in a 5 x 5 non keeper league....is it a good time to offer J. Werth for Manny??? or is that giving up too much for a guy who wont play the next 40 or so games?

No one who knows anything about fantasy baseball would accept. He'd probably laugh at it.

I would say so. Werth is at best a good 3rd outfielder IMO. You could duplicate his production by streaming players off the WW. Manny will miss another 40 games (1/4 of the season) then he'd come back and play 70-80 games for you (which should amount to around 18-20 HRs and 45-55 RBIs along with a much better BA than Werth could give you).
You'd also have Manny for the stretch run, which is, of course, the most important part of the year for serious fantasy players. If Manny was offered to me for a player of Werth's talent I would accept it in an instant.

I recently traded Rickie Weeks for Manny in my league. Granted the other owner is a Brewer fan, but he needed to improve his team now. I on the other hand can handle the wait for Manny to return.
