It would have been a perfect situation for the Jays to sign the guy, certainly. Unfortunately this is the year they've decided to cut back payroll.
Manny will probably end up going back to the Dodgers on a short term contract now.

I downloaded and read that section of the CBA. You're right, it's the limit or the number of A+B lost, whichever is greater. It's not vague in the actual language. Still, that puts the Yankees at a limit 5 and 4 are accounted for so they could still sign Manny. Also, we're assuming 3 due to 62 FA's but it could be and likely is higher. (I'm assuming MLBTradeRumor's list is not comprehensive but could be wrong about that too).

CBS5 in San Francisco reports that the Giants have offered Manny Ramirez a four-year contract, but goes on to quote an unnamed team official as saying: "It's not happening."

i've read that there is no limit on the # of A/B free agents a team can sign this year due to the size of the free agent pool.

2:40pm: MLB.com's Chris Haft splashes some cold water on the KPIX-TV rumor. His sources say recent reports linking the Giants to Manny are overblown. The Dodgers may be the only truly interested team currently. Haft says the Giants are looking to add a corner infield bat instead (they've been linked to Edwin Encarnacion and Jorge Cantu in the past, among others).
MLB on XM reporting that SF has put a two year deal for $50 million on the table. Option for third year based on performance benchmarks and player option for a 4th year.
Is Manny going to kick himself out of the league? He is basically making himself unaffordable. And turning many teams off, I hope the GMs get together and have a boycott of him.
